Terms of Service

1. Agreement to Terms

By accessing or using the RetailReady EDI platform ("Service") operated by RetailReady EDI ("RetailReady", "we", "us", or "our"), you ("Customer", "you", or "your") agree to be bound by these Terms of Service. If you are using the Service on behalf of a company, you represent that you have the authority to bind that company to these terms.

2. Description of Service

RetailReady EDI is a cloud-based platform that enables small and mid-size suppliers to exchange Electronic Data Interchange (EDI) documents with major retailers. The Service includes:

  • Receiving and processing inbound purchase orders (EDI 850)
  • Generating and transmitting purchase order acknowledgments (EDI 855)
  • Creating and transmitting advance ship notices (EDI 856/ASN)
  • Creating and transmitting invoices (EDI 810)
  • Compliance monitoring and reporting
  • Product catalog management
  • AI-powered assistance
  • Practice mode for learning EDI workflows

3. Account Registration

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized access to your account.
  • One account per company. Multiple users within the same company should use the same account.
  • You must verify your email address before accessing the full platform.

4. Subscription & Billing

Plans

The Service is offered on a subscription basis. Plan details, pricing, and included features are described on our Pricing page. We reserve the right to change pricing with 30 days' advance notice.

Payment

  • Subscriptions are billed monthly or annually, depending on your selected plan.
  • Payments are processed securely through Stripe. We do not store your credit card information.
  • All fees are non-refundable except as required by law or as described in our cancellation policy.

Cancellation

  • You may cancel your subscription at any time from your account settings.
  • Upon cancellation, your account remains active until the end of the current billing period.
  • After your subscription expires, your data is retained for 90 days. You may export your data during this period.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Transmit fraudulent, falsified, or intentionally misleading EDI documents
  • Attempt to gain unauthorized access to the Service, other accounts, or connected systems
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Use automated scripts, bots, or crawlers to access the Service beyond the provided API
  • Resell or sublicense access to the Service without written permission
  • Use the Service to send spam, malware, or other harmful content

6. Your Data

Ownership

You retain full ownership of all data you upload or generate through the Service, including EDI documents, product catalogs, and business information. We do not claim any intellectual property rights over your data.

License to Us

You grant us a limited license to process, store, and transmit your data solely as necessary to provide the Service. This includes transmitting EDI documents to your designated trading partners via SFTP and AS2 protocols.

Data Export

You may export your EDI documents, product catalog, and order data at any time using the export features in the platform.

Data Deletion

You may request full deletion of your account and associated data by contacting support@retailreadyedi.com. Deletion will be completed within 30 days, subject to any legal retention requirements.

7. EDI Document Transmission

  • We transmit EDI documents to retailers on your behalf using SFTP and/or AS2 protocols as configured for each trading partner.
  • You are responsible for the accuracy and completeness of the data in your EDI documents.
  • We are not liable for retailer chargebacks, penalties, or order cancellations resulting from incorrect data provided by you.
  • We make commercially reasonable efforts to transmit documents promptly and reliably, but do not guarantee real-time delivery.
  • Sandbox/practice mode documents are never transmitted to real trading partners.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We will provide reasonable advance notice for planned maintenance when possible.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without warranties of any kind, express or implied.
  • We are not liable for indirect, incidental, special, consequential, or punitive damages.
  • Our total liability for any claim arising from the Service shall not exceed the fees you paid in the 12 months preceding the claim.
  • We are not liable for damages arising from retailer actions, including chargebacks, deductions, or order cancellations.

10. Indemnification

You agree to indemnify and hold RetailReady harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these terms, or your transmission of inaccurate EDI data to retailers.

11. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is the intellectual property of RetailReady EDI. These terms do not grant you any rights to our intellectual property beyond the right to use the Service as described herein.

12. Termination

  • We may suspend or terminate your account if you violate these terms.
  • We may terminate the Service with 90 days' notice, during which you may export your data.
  • Upon termination, your right to use the Service ceases immediately, but data retention policies in our Privacy Policy continue to apply.

13. Changes to Terms

We may modify these terms at any time. Material changes will be communicated via email or platform notification at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.

14. Governing Law

These terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of the state in which RetailReady EDI is incorporated.
